Terms of Service

1. About These Terms

These Terms of Service (“Terms”) govern your access to and use of the NovelAide cloud services (“Services”), including the API gateway, account management, and AI features. By creating an account or using the Services, you agree to these Terms.

The desktop application itself is governed by a separate End User License Agreement (EULA).

2. Accounts

• You must be at least 13 years old, or the minimum age required for digital consent in your country, whichever is higher, to create an account.
• You are responsible for maintaining the confidentiality of your credentials.
• You must provide accurate information and keep it up to date.
• You may terminate your account at any time via in-app settings or by contacting support.

3. Credits and Billing

NovelAide uses a prepaid credits system for AI usage:

• Credits are an in-app unit of account. They have no cash value outside the Services.
• Pricing for each AI model is published in-app and may change with at least 14 days notice. Material price increases require your affirmative consent before they apply to your future purchases; consumed and already-purchased credits are not affected.
• Purchases: paid features are processed by a third-party payment provider. The specific provider will be announced in-app before billing is enabled. All amounts are charged in the currency shown at checkout.
• Refunds for unused credits may be requested within 14 days of purchase (or longer where required by local consumer protection law). Consumed credits are non-refundable.
• Disputes: Please contact [email protected] before initiating a chargeback.

4. Acceptable Use

You agree not to use the Services to:

• Generate, host, or transmit content that violates applicable law.
• Sexualize minors or depict real, identifiable persons in non-consensual sexual contexts.
• Promote terrorism, violent extremism, or imminent violence.
• Create malware, phishing kits, or other tools for unauthorized system access.
• Circumvent rate limits, abuse fees, or attempt to exhaust resources.
• Resell or sublicense the Services without written permission.

We reserve the right to suspend or terminate accounts, freeze credits, and cooperate with law enforcement in response to violations.

5. Content Ownership

You retain ownership of content you create with the Services. NovelAide claims no ownership over your manuscripts or AI-generated output.

We do not use your manuscripts to train AI models.

6. Service Availability

We aim to keep the Services available 24/7 but do not guarantee uninterrupted access. We may perform maintenance, updates, or temporarily suspend Services for security or operational reasons.

7. Force Majeure

Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, failures or degradation of third-party providers (including upstream AI providers, payment processors, and infrastructure vendors), or pandemics. The affected party will use commercially reasonable efforts to resume performance as soon as practicable.

8. Third-Party AI Providers

Our AI features route requests to third-party AI service providers. Their terms and acceptable use policies also apply to content you send through the Services. We will pass through provider errors and rate limits where applicable. You may request the current list of providers by contacting [email protected].

9. Indemnification

You agree to indemnify, defend, and hold harmless NovelAide and the individuals who operate the Service from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services in violation of these Terms or applicable law; (b) your content or AI-generated output you publish, distribute, or commercialize; (c) your infringement or alleged infringement of any third-party intellectual property, privacy, or other rights; or (d) any dispute between you and a third party arising from your use of the Services.

We will promptly notify you of any such claim and reasonably cooperate in your defense. You may not settle any claim that imposes obligations on NovelAide without our prior written consent.

10. Termination

• You may stop using the Services and delete your account at any time.
• We may suspend or terminate your account for material breach of these Terms, illegal activity, or extended inactivity (with notice).
• Upon termination, unused credits may be refunded subject to Section 3.

11. Disclaimers and Liability

The Services are provided “as is.” To the maximum extent permitted by law, we disclaim all warranties. Our total liability for any claim relating to the Services is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 50.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app at least 14 days in advance. Continued use after the effective date constitutes acceptance.

13. Disputes and Governing Law

Disputes shall first be addressed through good-faith negotiation between you and the operator of the Service. If negotiation fails, either party may submit the dispute to a court of competent jurisdiction in the forum where the defendant resides or where the relevant cause of action arose.

Nothing in these Terms restricts your right to bring proceedings in your country of residence under mandatory consumer protection laws.

14. Entire Agreement

These Terms, together with the EULA, Privacy Policy, and any pricing or policy pages referenced in the Services, constitute the entire agreement between you and NovelAide concerning the Services and supersede all prior or contemporaneous oral or written communications, proposals, or representations on the subject.

15. Severability; No Waiver; Assignment

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified only to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may transfer these Terms in connection with a change in the operator of the Service.
