End User License Agreement

1. Acceptance

By installing or using NovelAide (the “Software”), you agree to this End User License Agreement (“EULA”). If you do not agree, do not install or use the Software.

2. License Grant

NovelAide grants you a personal, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on devices you own or control, solely for personal or internal business use.

3. Open Source Components

The Software includes open source components, each licensed under its own terms. A complete list of these components and their licenses is available at /legal/licenses and within the application under About → Third-Party Licenses. To the extent any open source license conflicts with this EULA for those specific components, the open source license controls.

4. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software, except where such activity is expressly permitted by applicable law or by an open source license covering a specific component.
• Rent, lease, sublicense, or distribute the Software.
• Remove or alter any proprietary notices or labels in the Software.
• Use the Software to develop a competing product.

5. Manuscripts Remain Local

The Software is designed so that your manuscripts and writing content remain on your local device. Cloud features transmit only structural prompts (e.g. metadata, analysis questions) — not the raw text of your work, unless you explicitly opt in to a feature that requires it.

6. AI Features

The Software provides access to third-party AI models through NovelAide’s cloud gateway. You acknowledge that:

• AI-generated content may be inaccurate, biased, or otherwise flawed.
• You are responsible for reviewing and verifying any AI-generated output before using it.
• Generated content is owned by you, subject to the limitations of applicable law.

7. Acceptable Use

You agree not to use the Software to generate or process content that:

• Sexualizes or exploits minors.
• Depicts non-consensual sexual acts involving real, identifiable persons.
• Promotes terrorism, violent extremism, or imminent violence.
• Constitutes malware, phishing, or other cyber attacks.

When you use cloud-based features, the broader Acceptable Use Policy in our Terms of Service also applies.

Violations may result in immediate termination of your account and cooperation with law enforcement where required.

8. Export Compliance

You agree to comply with all applicable export control and sanctions laws, including the U.S. Export Administration Regulations and the sanctions programs administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC), as well as analogous laws in the European Union, the United Kingdom, and other relevant jurisdictions. You represent that you are not located in, under the control of, or a national or resident of any country or party subject to comprehensive sanctions, and that you will not export, re-export, or transfer the Software in violation of those laws.

9. Updates

The Software may automatically check for and download updates. You may disable automatic updates in settings, but doing so may leave you exposed to security vulnerabilities.

10. Termination

This EULA is effective until terminated. We may terminate it at any time if you breach its terms. Upon termination, you must cease all use and delete all copies of the Software.

11. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVELAIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

12. Limitation of Liability

IN NO EVENT WILL NOVELAIDE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE.

13. Disputes and Governing Law

Disputes shall first be addressed through good-faith negotiation between you and the operator of the Service. If negotiation fails, either party may submit the dispute to a court of competent jurisdiction in the forum where the defendant resides or where the relevant cause of action arose.

Nothing in this EULA restricts your right to bring proceedings in your country of residence under mandatory consumer protection laws.

14. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy referenced in the Software, constitutes the entire agreement between you and NovelAide concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, or representations on the subject.

15. Severability; No Waiver

If any provision of this EULA is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and the invalid provision will be modified only to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of our right to do so later.
